what the SEC's new framework means for traders

The September 17 decision creates opportunities across equities, blockchain infrastructure, and market making. Capturing them will require close attention to ownership rights, liquidity, execution costs, and company revenues.

The U.S. Securities and Exchange Commission has created a new route for trading tokenized American stocks, opening a potentially significant market for companies that connect traditional securities with blockchain infrastructure. On September 17, 2026, the SEC issued its “Innovation Exemption,” granting temporary, conditional relief to qualifying Tokenized Securities Venues, or TSVs, and certain liquidity providers. The framework allows eligible stock tokens to trade through permissioned automated market makers and liquidity pools. The exemptions are scheduled to expire five years after publication.

1 · Two opportunities, two speeds

Permission arrives in a day. Markets take longer.

For traders, the decision creates two distinct opportunities: trading securities through emerging blockchain venues, and trading the companies or digital assets that might benefit from their development.

Those opportunities will progress at different speeds. Share prices and crypto tokens can react to expectations immediately. Building functioning markets requires issuers, eligible investors, dependable technology, and enough liquidity to support competitive execution.

The central investment question is therefore how regulatory permission translates into actual trading activity — and who earns money when it does.

2 · The legal claim

A familiar name on the screen does not establish what the buyer owns.

A tokenized stock uses blockchain technology to represent or record an interest in a security. Its investment characteristics depend on the legal structure behind the token. The SEC's January staff guidance distinguishes issuer-sponsored tokenization, custodial arrangements representing interests in underlying securities, and synthetic products providing exposure to another security's performance. Those structures create different rights and different exposure to intermediary failure.

Under the new exemption, qualifying tokens must preserve the rights and privileges of the equivalent traditional shares, including applicable dividend and voting rights. Both issuer-sponsored and qualifying third-party arrangements can fit. Products that merely provide synthetic exposure fall outside this particular framework. Anti-fraud and anti-manipulation provisions continue to apply.

This makes the ownership documentation essential reading. Traders need to understand who maintains the ownership records, how corporate actions are handled, and what happens if the tokenization provider becomes insolvent.

Robinhood's European Classic Stock Tokens illustrate the distinction. Robinhood describes them as derivative contracts that track underlying securities without granting rights to those securities. Their existence does not establish eligibility for the new U.S. exemption. Product changes would need to be assessed against the exemption's conditions.

3 · Capacity

The conditions that set the size of the market.

The framework contains restrictions that directly affect market capacity and trading strategy. The tiers follow the existing Limit Up–Limit Down classification. These are conditional operating limits, not guarantees of available liquidity.

For anyone valuing the opportunity, the implication is substantial. Initial venues have constrained capacity. A forecast that assumes rapid migration of a large share of U.S. equity turnover needs to explain how those limits would change.

Operating permission also needs to be distinguished from an actual product launch. A company's announcement should be checked against its operating notice, supported securities, participant eligibility, and published start date.

4 · Access and hours

“Onchain” does not mean always open.

Blockchain availability brings another distinction. The SEC requires public, auditable smart contracts on a public, permissionless ledger, while access to the trading venue remains controlled. TSVs must also stop trading when the underlying security experiences a trading stoppage on its primary listing exchange.

Consequently, “onchain” does not establish uninterrupted access or execution. Traders should verify the hours and restrictions of each venue. Where trading is available outside conventional market hours, the relevant question is how much executable liquidity exists at that time.

An overnight price may look attractive while representing only a small pool of capital. A large order can consume that liquidity and move the execution price significantly. A trader who enters easily may discover that exiting the same position requires accepting a substantial discount.

5 · The listed exposures

Who earns the revenue when the tokens trade.

The companies with the clearest potential commercial role are those already providing securities issuance, ownership records, asset servicing, and trading infrastructure.

Securitize offers one listed exposure through SECZ. Its second-quarter results state that its shares began trading on the NYSE in July and that it brought its own common stock onchain. The company reported approximately $14.4 million in quarterly revenue, down 5% from a year earlier, while first-half revenue increased 16%. These figures show why traders should assess operating performance alongside the regulatory narrative.

The potential upside is additional issuer relationships and recurring revenue from tokenization and servicing. Evidence supporting that thesis would include new contracts, expanding fee revenue, and improving margins. A growing amount of assets represented on a platform is useful context, but its financial significance depends on how much revenue the company earns from those assets.

Bullish, traded as BLSH, offers another infrastructure thesis through its agreement to acquire transfer agent Equiniti. The announced transaction is valued at approximately $4.2 billion and was expected to close in January 2027, subject to approvals and other conditions. It should therefore be evaluated as a pending acquisition.

If completed and successfully integrated, the combination could connect shareholder administration with tokenization and trading services. For equity traders, the relevant milestones include closing, integration costs, customer adoption, and the economics of new services. The acquisition's size does not establish the profitability of its tokenization opportunity.

Superstate provides a useful example of issuer-focused infrastructure. Its Opening Bell platform describes native share tokenization, shareholder recordkeeping, permissioned wallets, and support for corporate actions. This shows the operational work behind a tokenized share: maintaining ownership records and processing investor rights remain necessary after the asset moves onto a blockchain.

CoinDesk's report also identifies potential opportunities around Ethereum, Solana, BNB Chain, Uniswap, Aerodrome, and Raydium. These are exposure themes rather than confirmed winners under the exemption.

For a blockchain's native asset, the analytical question is whether securities activity creates meaningful incremental demand for network resources. For a protocol token, traders need to establish whether usage produces economic benefits for token holders. A successful application can generate revenue for its operator or liquidity providers without creating an equivalent return for a separate governance token.

This is where broad “tokenization baskets” can become misleading. Several assets may rise on the same headline while having very different connections to the resulting business.

6 · Execution

Sixty basis points on the screen. Fifteen after costs.

Execution will be equally important for traders using the new venues themselves. An automated market maker allows users to trade against assets committed to a pool, with pricing determined by its design. Liquidity providers earn trading fees while assuming price risk. Different systems can use different pricing methods; the SEC framework does not require every venue to use one constant-product model.

The practical consequence is that the displayed price needs to be tested against the intended order size.

Consider a hypothetical stock available at $100 in the conventional market while its equivalent token appears to trade at $100.60. That suggests a gross difference of 0.60%, or 60 basis points.

Now assume the combined cost of executing, hedging, transferring, and financing the position is 45 basis points. Only 15 basis points remain before allowing for uncertainty, failed transactions, or an adverse price move.

The apparent opportunity also depends on being able to execute both sides and close the position. The trader must have access to the relevant venues, any required stock borrow, and a workable conversion or redemption route. Without those capabilities, a price difference may be exposure to a persistent mismatch rather than a realizable arbitrage.

A useful calculation
Expected net trading return = executable price difference − trading costs − transfer costs − financing and borrow costs − allowance for execution risk
Every term should reflect the actual trade size. Comparing two small headline quotes can materially overstate what a larger position would earn.
7 · Providing liquidity, and settling

An attractive fee yield is not evidence of a profitable strategy.

Liquidity provision creates a separate opportunity, with a separate risk profile. In familiar AMM designs, changes in relative asset prices can leave a provider worse off than simply holding the original assets, even after receiving some trading fees. Concentrated positions can also move outside their active price range and stop earning fees.

For a stock-token pool, earnings announcements and other company news deserve particular attention. If outside markets respond faster than the pool's pricing mechanism, informed traders may transact against stale prices. Fee income must compensate for that exposure, together with hedging expenses and operational costs.

An attractive annualized fee figure is therefore insufficient evidence of a profitable strategy. Traders should examine returns after changes in inventory value and compare them with an appropriate holding or hedged benchmark.

Settlement deserves similar scrutiny. Faster token transfers could improve the movement of securities and capital, but the benefit depends on the complete transaction. Traders need to know when payment becomes final, when the securities interest is recognized, and when either asset can be transferred or converted again.

Where payment uses a stablecoin, the trader should also examine its redemption terms and the consequences of a departure from its intended value. Where different networks are involved, transfer delays and additional service dependencies may affect the ability to hedge.

8 · What to watch

A sequence of increasingly concrete evidence.

For traders expressing the theme through listed shares or crypto assets, the most useful approach is to track evidence in the order it should arrive.

The SEC's conditions require public transaction and pool information, creating a potential basis for evaluating market quality. Commissioner Mark Uyeda specifically highlighted the role of published prices, trade sizes, timestamps, pool information, and volume in monitoring these markets.

That evidence can help distinguish three plausible outcomes.

Strong adoption

Issuers participate, venues attract repeat activity, and the service providers generate measurable revenue. Infrastructure businesses with established customer relationships benefit, and particular networks gain activity where they support successful deployments.

Gradual adoption

A small number of securities attract useful liquidity, but the commercial contribution remains modest. Prices may still react sharply to announcements, creating a gap between market expectations and near-term earnings.

Weak adoption

Issuer reluctance, fragmented liquidity, costly compliance, or poor execution limits demand. Assets that appreciated mainly because of their association with tokenization lose that premium.

These are analytical scenarios, not forecasts. Each becomes more or less credible as operating data appears.

9 · The bottom line

The durable advantage is knowing what you bought and what it cost.

The SEC has created a framework that gives market participants room to test a different way of trading U.S. securities. For traders, the durable advantage will come from understanding the legal claim being purchased, measuring the full cost of execution, and identifying where usage becomes revenue.

The next meaningful signals will be visible in functioning markets, customer activity, and financial results. What did the SEC actually do on September 17, 2026?
It issued an Innovation Exemption: temporary, conditional relief that lets qualifying Tokenized Securities Venues (TSVs) and certain liquidity providers trade eligible tokenized NMS stock through permissioned automated market makers and liquidity pools. The relief expires five years after publication and the Commission has asked for comment on it.
Is a tokenized stock the same as owning the share?
Only if the structure behind the token says so. The SEC distinguishes issuer-sponsored tokenization, custodial arrangements that represent an interest in an underlying security, and synthetic products that merely track a price. To qualify under the exemption a token must preserve the rights of the equivalent traditional share, including applicable dividend and voting rights. Synthetic exposure products fall outside it.
Are Robinhood's European stock tokens eligible?
Their existence does not establish eligibility. Robinhood describes its European Classic Stock Tokens as derivative contracts that track underlying securities without granting rights to them. Any product would have to be assessed against the exemption's own conditions, and a derivative that carries no rights would not meet the rights-preservation requirement as written.
How much stock can trade on these venues?
Not much, initially. Tier 1 securities are capped at 75 symbols and a 0.25% trading-volume threshold; Tier 2 at 250 symbols and 2.5%. Volume is measured as average daily share volume against the underlying stock's prior-month average, with affiliated venues aggregated. The tiers follow the existing Limit Up-Limit Down classification.
Does onchain mean the market never closes?
No. The SEC requires public, auditable smart contracts on a public, permissionless ledger, but access to the venue itself is permissioned, and a TSV must stop trading whenever the underlying security is halted on its primary listing exchange. Where trading is offered outside conventional hours, the question is how much executable liquidity exists at that time.
Is a 60-basis-point premium on a token an arbitrage?
Only after costs. If executing, hedging, transferring and financing the position costs 45 basis points, 15 remain before any allowance for failed transactions or an adverse move. The trade also needs access to both venues, any required stock borrow, and a workable conversion or redemption route. Without those, a price gap is exposure to a persistent mismatch, not a realizable arbitrage.
Which listed companies are exposed to the theme?
Securitize (SECZ) and Bullish (BLSH, through its pending acquisition of transfer agent Equiniti) are the clearest listed infrastructure exposures. Superstate's Opening Bell is an issuer-side platform. CoinDesk also flagged Ethereum, Solana, BNB Chain, Uniswap, Aerodrome and Raydium as potential beneficiaries. These are exposure themes, not confirmed winners, and the value to any token holder depends on whether usage actually accrues to that asset.
